Please read these Terms carefully. These Terms govern use of ReportRocket and allocate responsibility for clinical review, protected health information, software access, intellectual property, warranties, indemnification, and dispute resolution. By affirmatively accepting them or entering an agreement that incorporates them, you agree to be bound by these Terms.
1. Parties, scope, and agreement
These Terms of Service (the “Terms”) form an agreement between Glazco Technologies LLC (“Glazco,” “we,” “us,” or “our”), the developer and operator of ReportRocket, and the individual or legal entity that accepts them (“Customer,” “you,” or “your”). ReportRocket comprises the Windows-based radiology dictation and AI-assisted reporting application, its website, desktop software, supporting local components, cloud gateway, updates, and related services (collectively, the “Services”).
These Terms become effective for Customer upon affirmative electronic acceptance, execution of an order or other agreement incorporating these Terms, or another legally valid method of assent. If you accept for a hospital, radiology practice, employer, or other organization, you represent and warrant that you are authorized to bind that organization. If you do not have that authority, you may not accept these Terms on its behalf. Users accessing an organizational account act for the applicable Customer.
An executed enterprise agreement, order form, or other negotiated written agreement controls over any conflicting provision of these Terms to the extent expressly stated. An executed Business Associate Agreement (“BAA”) governs the parties’ obligations concerning protected health information (“PHI”) to the extent required by applicable law. These Terms do not supersede mandatory legal protections.
2. Eligibility, professional use, and account security
The Services are intended for professional use by healthcare organizations and appropriately authorized personnel, not for patients to seek diagnoses or treatment. You are responsible for verifying that all individuals permitted to use the Services are suitably qualified, licensed where necessary, trained, and authorized for their assigned tasks.
You must provide accurate registration information, maintain control of your credentials and devices, use available security controls as required by your organization, and promptly report suspected compromise through an official Glazco support or security contact. You are responsible for activities occurring through your accounts except to the extent directly caused by Glazco's violation of applicable law or an express contractual obligation. Do not share individual credentials or permit unauthorized personnel to access the Services.
3. Limited software license and ownership
Subject to your compliance with these Terms and payment obligations, if any, Glazco grants you a limited, revocable (where permitted by law), nonexclusive, nontransferable, nonsublicensable license to install, access, and use the Services solely for your internal, lawful professional operations during the applicable term. The software is licensed, not sold. No ownership interest in the Services, software, models, interfaces, workflows, source code, documentation, trade secrets, or Glazco branding is transferred to you.
All rights not expressly granted remain with Glazco and its licensors. You may not distribute, sublicense, rent, lease, or commercially host the software for others without Glazco's written authorization. The license is not a right to receive source code, maintenance, custom integrations, or perpetual access.
See the Software License Agreement for desktop installation and use conditions.
4. Prohibited conduct and protection of the platform
You must not, and must not permit others to: (a) reverse engineer, decompile, disassemble, or attempt to discover nonpublic source code, models, prompts, credentials, or security mechanisms except to the extent an applicable law expressly protects that activity; (b) copy, modify, republish, resell, or create derivative products from proprietary portions of the Services without permission; (c) use the Services or systematic collections of their outputs to build, benchmark for the benefit of, train, or improve a competing reporting or AI service, except to the extent a restriction is unenforceable under applicable law; (d) circumvent authentication, license controls, quotas, access restrictions, or technical protections; (e) introduce malicious code, disrupt services, scrape at scale, or probe production systems without prior written authorization, except for activities expressly protected by law; (f) process data unlawfully or infringe third-party rights; or (g) misrepresent output as independently reviewed or verified when it has not been.
Nothing in these restrictions prohibits appropriate patient-safety review, internal clinical validation, ordinary authorized report export, legally required security research, or the exercise of rights that cannot lawfully be waived.
5. Clinical decisions and mandatory review
REPORTROCKET ASSISTS WITH REPORT DOCUMENTATION AND WORKFLOW. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL CLINICAL JUDGMENT. AI-assisted transcription, structured findings, report revisions, impression suggestions, and automated workflow actions may be inaccurate, incomplete, delayed, inconsistent, or inappropriate for a particular patient or study. AI may omit findings, introduce unsupported statements, mishandle measurements or later corrections, or produce plausible but erroneous language.
The Customer and its licensed clinicians—not Glazco—are responsible for diagnostic interpretation, verifying source images and dictation, resolving discrepancies, reviewing every proposed finding and impression, approving final reports, and deciding whether and when information enters any medical record. A qualified professional must independently check all AI-generated or modified report content before signing, exporting, transmitting, or clinically relying on it. You must maintain appropriate fallback procedures when the Services or integrations are unavailable or produce questionable results.
You assume responsibility for clinical care, patient communication, medical record accuracy, coding, billing, reimbursement, regulatory documentation, and your professional standard of care. Glazco does not undertake the practice of medicine or provide patient-specific clinical advice through the Services. The regulatory status of software functions depends on applicable law and their actual intended use; nothing in these Terms represents a determination of FDA clearance, exemption, or classification.
6. Voice commands, automated edits, and third-party integrations
ReportRocket may support voice-controlled workflow actions, edits to earlier dictated content, optional AI-generated impressions, and transfer of completed text to third-party reporting systems, including PowerScribe One, or interaction with PACS software. You must confirm that commands, revisions, destinations, and transferred report content are correct. Integration compatibility and behavior can change when third-party products or customer environments change.
You are responsible for obtaining and maintaining any licenses, permissions, interfaces, and approvals needed for your third-party systems. Glazco does not control independently licensed third-party software and makes no warranty that any specific integration will remain available, uninterrupted, or compatible. This does not disclaim Glazco's express duties for components it operates or under any applicable BAA.
7. Protected health information and BAAs
The Services may process PHI when used in clinical workflows. Where HIPAA requires a BAA between Glazco and a Customer (or another applicable contracting party), PHI must not be submitted for such use until the appropriate BAA is fully executed and the intended workflow and services are approved for PHI. A BAA that Glazco maintains with an infrastructure or AI provider does not substitute for a BAA required between Glazco and a healthcare Customer.
You represent that you have the right to provide all submitted information, have made any required notices or obtained necessary authorizations, will comply with applicable privacy and security laws and minimum-necessary requirements, and will configure access and use consistently with your organization's policies. Glazco's obligations with respect to PHI are governed by the applicable executed BAA and mandatory law. Nothing in these Terms authorizes any use or disclosure prohibited by a BAA or HIPAA, removes a party's statutory duties, or overrides required breach notification, safeguarding, or return/destruction obligations.
8. Customer data, outputs, and permitted processing
“Customer Data” means audio, dictation, text, reports, templates, and other materials submitted to or through the Services. “Outputs” means report drafts, structured findings, impressions, and other materials generated from Customer Data. As between the parties, Customer retains its rights in Customer Data and Outputs, subject to applicable law and third-party rights. Glazco retains all right, title, and interest in ReportRocket, its software, interfaces, architecture, methods, prompts, algorithms, processes, documentation, and underlying technology.
Customer grants Glazco and its authorized service providers a limited right to receive, transmit, process, host, secure, troubleshoot, and return Customer Data only as reasonably necessary to deliver the Services, comply with applicable legal and contractual duties, investigate misuse, and maintain security. All such processing remains subject to the applicable BAA and law. Nothing in these Terms transfers ownership of medical records or authorizes the sale of PHI.
ReportRocket uses a Windows desktop application, a local backend, an Azure Gateway, and third-party technology providers, including OpenAI. Data processing, logging, retention, deletion, and geographic handling are governed by the implemented service configuration and applicable written agreements. These Terms do not establish a general zero-retention commitment, a fixed geographic processing location, or a blanket restriction on all provider model-training activity. Glazco receives no authorization under these Terms to use PHI or confidential Customer Data for unrelated model training; any such activity requires a separate lawful and contractual basis.
9. Privacy, safeguards, and service providers
Glazco uses third-party technology providers, including Microsoft Azure for cloud infrastructure and identity-related services and OpenAI for AI-related processing. Provider services operate under applicable contracts, technical configurations, and legal obligations. Glazco remains responsible for the obligations it expressly undertakes and those imposed by applicable law.
Customer is responsible for safeguarding its workstations, operating systems, local networks, connected PACS and reporting environments, access permissions, and exported reports. The applicable BAA, the ReportRocket Privacy Policy, and any other signed agreement govern the parties’ respective data-protection obligations. No system can be guaranteed free from interruptions or security vulnerabilities, and the existence of vendor agreements does not constitute a product certification.
10. Confidentiality
Each party will use the other's nonpublic information obtained through the relationship only to perform or exercise rights under the applicable agreement and will take reasonable precautions against unauthorized disclosure. Confidential information includes nonpublic pricing, security material, product plans, proprietary technology, and Customer Data. Information that is publicly available without breach, lawfully known independently, obtained lawfully without confidentiality restrictions, or independently developed is excluded.
Disclosures are permitted to personnel, advisors, and vendors who need the information and are under suitable duties of confidentiality, or as required by law (with notice where legally permissible). Ordinary confidentiality duties continue for three years after termination; trade secrets remain protected as long as they qualify under applicable law, and PHI remains subject to the BAA and law. Confidentiality does not prevent any disclosure protected or required by applicable law.
11. Fees, renewals, refunds, and taxes
Charges, billing intervals, included usage, renewal provisions, and applicable taxes are established in the applicable accepted order or checkout disclosure. These Terms alone do not establish or authorize an automatically renewing subscription. Recurring charges apply only when separately disclosed and authorized in accordance with applicable law.
Except as provided by an applicable order or mandatory law, amounts owed are payable without setoff, prepaid fees are nonrefundable, and Customer is responsible for applicable sales, use, and transaction taxes other than taxes measured by Glazco’s net income. Glazco may restrict paid access for overdue amounts following any legally required notice and may modify prospective pricing in accordance with its contractual and legal obligations. Promotional, trial, or free access remains subject to the terms of the particular offer.
12. Updates, changes, availability, and previews
Glazco may maintain, modify, patch, replace, or retire features to address security, legal, operational, or product needs. Material changes to paid Services will be handled consistent with any applicable order and mandatory law. The Services can be affected by outages, maintenance, internet failures, workstation limitations, provider disruptions, API changes, and incompatible third-party software.
Preview, beta, demonstration, and pre-release functionality may be incomplete and should not be used with PHI or for clinical production unless Glazco has expressly authorized that use under appropriate agreements and configurations. No guaranteed uptime, response time, performance benchmark, or continuing access is provided except as expressly written in a separate signed service-level commitment.
13. Feedback and product improvements
If you voluntarily submit ideas or suggestions about ReportRocket that are not PHI, confidential Customer Data, or subject to a separately agreed restriction, you grant Glazco a perpetual, worldwide, royalty-free, irrevocable right to consider, modify, and use that feedback without compensation or attribution. This clause does not authorize the use or disclosure of PHI, signed reports, or protected Customer Data contrary to an applicable BAA or law.
14. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT FOR EXPRESS WARRANTIES IN A SIGNED AGREEMENT, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GLAZCO DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. GLAZCO DOES NOT GUARANTEE ACCURACY OF DICTATION, REPORT STRUCTURING, GENERATED IMPRESSIONS, CLINICAL SUITABILITY, CONTINUOUS AVAILABILITY, ERROR-FREE OPERATION, COMPATIBILITY WITH THIRD-PARTY SYSTEMS, OR THE ABSENCE OF SECURITY INCIDENTS.
This disclaimer does not limit commitments that cannot legally be disclaimed, including applicable duties under a BAA, data-protection law, or express signed agreement.
15. Limitation of Glazco liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GLAZCO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR LOST PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, PROCUREMENT OF SUBSTITUTE SERVICES, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This exclusion includes losses arising from inaccurate or unreviewed Outputs, workflow interruptions, and third-party system failures to the extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLAZCO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES ACTUALLY PAID BY CUSTOMER TO GLAZCO FOR THE AFFECTED SERVICES DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM OR (B) US $100. All related claims share a single aggregate cap, not a separate cap for each incident, claim, or claimant. This allocation of risk is an essential basis of the bargain between the parties.
These limitations do not exclude or restrict liability that cannot lawfully be limited, including where applicable for fraud, willful misconduct, or other nonwaivable statutory obligations. An executed BAA or other signed agreement controls if it expressly requires a different allocation for a particular obligation.
16. Customer indemnification
To the extent permitted by law, Customer will defend, indemnify, and hold harmless Glazco and its owners, personnel, affiliates, and licensors from third-party claims, proceedings, losses, judgments, settlements approved by Customer, reasonable legal costs, and expenses arising from: (a) Customer's unlawful data submission or lack of authorization to disclose PHI; (b) Customer's breach of these Terms or an applicable BAA; (c) Customer's security failures, misuse, or unauthorized access attributable to Customer's systems or personnel; (d) Customer's professional acts or omissions, including clinical interpretation, failure to review Outputs, signed or transmitted medical reports, billing, coding, or patient care; or (e) infringement or other violation of third-party rights by Customer Data provided to the Services.
This indemnity does not apply to the extent a claim results from Glazco's own wrongful acts for which shifting liability is prohibited by law or from Glazco's breach of nonwaivable legal or BAA duties. Glazco will notify Customer reasonably promptly of a covered claim, permit Customer to manage the defense with competent counsel subject to reasonable approval, and cooperate at Customer's cost. No settlement may impose admissions, injunctive obligations, or nonmonetary duties on Glazco without Glazco's written consent.
17. Suspension, termination, and data disposition
Glazco may promptly suspend or restrict use when reasonably necessary to address an actual or suspected security incident, patient-safety risk, unlawful activity, unauthorized access, material breach, unpaid fees, or a threat to the Services or others. Glazco will provide notice when reasonably practical and lawful. Glazco may terminate for a material breach not cured within a reasonable written cure period, or as otherwise provided in an order; Glazco may discontinue free offerings upon reasonable notice where feasible. Customer may stop using the Services and terminate according to any applicable order.
After termination, rights to use the Services cease, except as provided in an executed agreement. Handling of Customer Data, including any return, access, retention, deletion, or destruction, is subject to the applicable BAA, law, and any written data-disposition commitments. Nothing in these Terms authorizes withholding, destruction, or inaccessibility of PHI in a manner prohibited by law or an applicable BAA. Customer is responsible for exporting reports and maintaining medical records in its systems, subject to legally required access and transition arrangements. Payment obligations, ownership, permitted confidentiality obligations, disclaimers, limitations of liability, indemnities, dispute terms, and other provisions intended to survive will survive to the extent lawful.
18. Dispute resolution, individual proceedings, and time to file
Notice and informal resolution. Before initiating arbitration or litigation, the party asserting a dispute must provide written notice under Section 20 describing the claim and the relief requested. The parties will attempt in good faith to resolve the dispute for 30 days after receipt, except where immediate injunctive relief is necessary or applicable law provides otherwise.
Binding individual arbitration. Except for claims eligible for small-claims court and requests for temporary or preliminary equitable relief to protect intellectual property, confidentiality, PHI, or system security, disputes arising out of or relating to these Terms or the Services will be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, before one neutral arbitrator. Consumer Arbitration Rules apply where required by law. Unless the parties agree otherwise or applicable rules require another location, hearings may be conducted remotely. Arbitration fees are allocated under the applicable AAA rules and mandatory law. The Federal Arbitration Act governs the arbitration agreement to the extent applicable.
CLASS ACTION AND JURY TRIAL WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY AND WAIVES PARTICIPATION IN CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDINGS. NO ARBITRATOR MAY CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING WITHOUT BOTH PARTIES’ EXPRESS WRITTEN CONSENT. EACH PARTY WAIVES A JURY TRIAL FOR ANY CLAIM THAT PROCEEDS IN COURT TO THE EXTENT SUCH WAIVER IS ENFORCEABLE. If the class-action waiver is determined unenforceable for a particular claim, that claim will proceed in a court of competent jurisdiction, while all remaining arbitrable claims will proceed individually.
Time limit. Any claim arising out of or relating to the Services must be commenced within one year after it accrues, except where a longer limitation period is required by law.
Governing law and venue. These Terms are governed by the laws of the Commonwealth of Massachusetts, excluding conflict-of-law principles, except where federal law controls. For any claim not subject to arbitration, the parties consent to the exclusive jurisdiction of the state courts located in Suffolk County, Massachusetts, and the United States District Court for the District of Massachusetts, subject to mandatory jurisdiction and venue requirements.
19. General terms
You may not assign your rights or obligations without Glazco's written consent except where an executed agreement provides otherwise. Glazco may assign these Terms in a merger, reorganization, asset sale, or change of control, consistent with applicable privacy law and any BAA. These Terms create no partnership, agency, fiduciary relationship, or rights for unintended third-party beneficiaries. Delayed enforcement is not a waiver; invalid provisions are narrowed or severed to the extent legally permitted without invalidating the remainder. Neither party is responsible for failures caused by circumstances beyond its reasonable control, except payment duties and nonwaivable security and privacy obligations.
Glazco may revise these Terms prospectively. Material changes will be communicated in a manner appropriate to the contractual relationship and applicable law; changes requiring fresh assent will not bind a Customer without that assent. These Terms, applicable orders, signed agreements, and any relevant BAA constitute the agreement on their respective subjects. In a conflict, mandatory law controls, then the BAA for PHI, then any express negotiated override, then these Terms.
20. Legal notices and company identity
ReportRocket is developed and operated by Glazco Technologies LLC. The company is the contracting party providing the Services under these Terms.
Legal notices to Glazco. Unless an executed order specifies a different legal-notice address, formal legal notices must be delivered in writing to Glazco Technologies LLC, care of its registered agent, at the address reflected in the official business-entity records of its state of formation. Delivery must be by certified mail, return receipt requested, or a nationally recognized overnight courier with tracking. Notices are effective upon documented receipt.
Legal notices to Customer. Glazco may send legal notices to the email or physical address provided by Customer in its account, applicable order, or other business records, using methods permitted by law and the applicable agreement. Customer is responsible for keeping its contact information current.
Effective date: October 19, 2026. Governing law: Massachusetts, as stated in Section 18. Operational inquiries may be directed through the support channels designated in the Services or an applicable order. Do not transmit PHI through general-purpose website or legal-inquiry channels.
