Software use, clearly defined.
The license conditions governing the ReportRocket Windows desktop application and its supporting components.
1. Agreement and relationship to the Terms
This End User License Agreement (“License”) governs installation, access to and use of the ReportRocket Windows desktop application, including its local backend, supporting files, updates and associated documentation (collectively, “Software”). The Software is developed and operated by Glazco Technologies LLC (“Glazco,” “we,” or “us”). “You” and “Customer” refer to the individual or entity using the Software.
This License supplements the ReportRocket Terms of Service and any written order, enterprise agreement or Business Associate Agreement (“BAA”) executed with Glazco. If there is a conflict concerning the Software license itself, this License applies unless a signed agreement expressly provides otherwise. Any applicable BAA controls protected health information matters within its scope. The Terms control general service provisions not addressed here.
By downloading, installing, accessing or using the Software, you agree to this License, subject to any superior executed agreement.
2. License grant and restrictions
Subject to payment of applicable fees, compliance with this License and any applicable order, Glazco grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to install and use authorized copies of the Software solely for Customer’s internal professional radiology reporting operations during the applicable license term.
Customer may not, except where expressly permitted by non-waivable law or written authorization: sell, sublicense, distribute, lease or provide hosted access to the Software; reverse engineer, decompile or attempt to extract source code or proprietary models; circumvent authentication, licensing, usage limits or security measures; make unauthorized modifications or derivative products; remove proprietary notices; use the Software to train or develop a competing technology; or introduce malicious code. Customer will not permit third parties to do any of the foregoing.
All rights not expressly granted are reserved by Glazco and its licensors.
3. Licensed users, equipment and accounts
The Software is intended for appropriately authorized professional users. Customer is responsible for its users, devices, workstations, network access, account security, access permissions and compliance with organizational policies and applicable law. Credentials must not be shared or transferred except where permitted by the applicable identity service and agreement.
Customer must ensure the Software is used only in a supported and properly configured environment, with necessary permissions for PowerScribe One, PACS and other integrations. Glazco may use reasonable technical measures to prevent unauthorized use and protect the service.
4. Clinical responsibility and AI limitations
The Software assists with drafting, structuring, transcribing and editing clinical reports. It does not interpret medical images independently, diagnose conditions, replace a radiologist, or provide guarantees of clinical correctness. AI-generated language, calculations, automated edits, measurements, negations, laterality, formatting and impressions can contain errors or omissions.
A licensed clinician must independently verify the imaging study and all proposed report content, including modifications and material populated into any external reporting platform, before clinical finalization. Customer and its clinicians retain sole responsibility for clinical conclusions, accuracy, approval and patient-care decisions.
The Software must not be relied upon as an emergency alerting system or as the sole means of communicating urgent or critical findings.
5. Customer data, privacy and healthcare requirements
Customer retains its rights in clinical data and professional work product, subject to applicable law, agreements and third-party platform rights. Customer authorizes processing reasonably necessary to deliver Software functions and supporting services, including authenticated transmission of applicable AI requests from the local backend through the Azure Gateway to technology providers.
Customer must have the legal authority to submit information for processing and must comply with applicable healthcare privacy and security requirements. Where PHI processing requires a BAA, relevant agreements and authorized deployment arrangements must be established before such processing. The Privacy Policy, Terms of Service and any executed BAA govern related obligations. No general promise of zero retention or fixed geographic residence is made by this License.
6. Third-party services and dependencies
Some functions depend on Microsoft Entra External ID, Microsoft Azure, OpenAI, workstation resources, network connectivity, PowerScribe One, PACS and other third-party technologies. Their availability, eligibility, licenses, acceptable-use requirements and configurations are outside Glazco’s exclusive control. Glazco does not warrant the performance, security, compatibility or continuing availability of third-party systems.
Customer is responsible for obtaining all permissions, licenses and approvals necessary to use those systems. Glazco may change or discontinue integrations where required by security, legal, vendor or operational circumstances.
7. Updates, maintenance and availability
Glazco may release updates, bug fixes, feature changes, security patches or replacement versions. Continued use may require installation of updates or changes to supported environments. Glazco may suspend or disable access as reasonably necessary to address security threats, misuse, legal requirements or material contractual breaches.
Unless a signed agreement provides otherwise, Glazco does not commit to any particular support response time, upgrade frequency, feature roadmap or uninterrupted availability.
8. Intellectual property and feedback
Glazco and its licensors own the Software and all underlying source code, interfaces, designs, workflows, methods, trade secrets and related intellectual property. The License conveys use rights only and does not transfer ownership.
If Customer voluntarily provides feedback about the Software, Glazco may use that feedback to improve its offerings without additional compensation, provided that doing so does not grant Glazco ownership of Customer’s PHI or other confidential information.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, CONTINUITY OR FITNESS FOR CLINICAL USE. GLAZCO DOES NOT WARRANT THAT THE SOFTWARE WILL PRODUCE ERROR-FREE, COMPLETE OR CLINICALLY APPROPRIATE REPORTS.
Nothing in this section limits warranties or statutory rights that cannot lawfully be excluded. Any express commitments in a controlling executed agreement remain effective according to their terms.
10. Allocation of risk and indemnity
TO THE FULLEST EXTENT PERMITTED BY LAW, GLAZCO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, REVENUE, BUSINESS OR GOODWILL, ARISING FROM OR RELATING TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY.
Aggregate liability is limited as stated in the ReportRocket Terms of Service, except to the extent a controlling signed agreement expressly provides otherwise or applicable law forbids the limitation. Customer’s indemnification obligations in the Terms apply to claims involving its misuse, unlawful submissions, unauthorized use and clinical decisions to the extent provided there.
11. Suspension, termination and effect
The license ends when the applicable term ends, a valid termination occurs under the Terms or signed agreement, or Customer materially breaches this License and does not cure where cure is required. On termination, Customer must stop using the Software and remove or destroy unauthorized copies, except where retention is required by law or an applicable agreement.
Termination does not erase independent obligations concerning fees, confidentiality, intellectual property, data disposition, risk allocation, dispute resolution or any provision that by its nature should survive. Data handling remains subject to applicable agreements and law.
12. General provisions
The Terms of Service govern dispute resolution, governing law, notices, severability, assignment and other general contractual matters except where an executed agreement expressly overrides them. Glazco Technologies LLC is the provider and licensor of ReportRocket. Customer may review the Security & Trust Center and Contact & Support guidance for related information.
